1. Customer License Agreement

This Customer License Agreement ("Agreement") is between Tea & Coffee Talks, Inc., headquartered in New York, and you, the Customer, as outlined below.

By accessing or using any of our services or products, or by signing a Statement of Work (SOW), you agree to the terms outlined in this Agreement. If you do not accept these terms, you may not use our offerings.

1. Key Definitions

1. “Affiliates” are entities that are directly or indirectly connected through ownership with either party.

2. “Authorized User” refers to individuals the Customer permits to access and use the services.

3. “Customer” is the person or organization entering into this Agreement with us.

4. “Customer Data” includes any data or content provided to us by the Customer.

5. “Facility” refers to the locations where the Customer utilizes the services.

6. “Fees” are the agreed-upon charges outlined in the signed contract.

7. “License Agreement” refers to this full Agreement and any appendices or referenced documents.

8. “Partner” means a third party officially collaborating with Tea & Coffee Talks.

9. “Partner Contract” is a formal agreement between Tea & Coffee Talks and its official partners.

10. “Services” refer to the specific products or offerings described in your contract.

11. “Service Data” is any usage-related data collected through the service.

12. “Service Software” is the technology platform that powers the services provided by Tea & Coffee Talks.

13. “Subscription” refers to your licensed access to the services under this Agreement.

14. “Subscription Start Date” is the date your access to the service begins.

15. “Subscription Term” defines the time period your subscription remains active under this Agreement.

16. “Statement of Work” or “SOW” outlines detailed project terms such as services, timelines, and fees.

2. Scope of Services

This section outlines how Tea & Coffee Talks will deliver services and what each party’s responsibilities are under this Agreement.

3. Term of the Agreement

This Agreement becomes effective on the start date and remains valid while services are active, unless terminated earlier based on the conditions herein.

4. Licensing and Intellectual Property

4.1. License Grant – Tea & Coffee Talks provides a limited, non-exclusive, and non-transferable license to use its services in accordance with this Agreement.

4.2. Ownership – All rights, title, and interest in the services, software, and related data belong solely to Tea & Coffee Talks. Your usage rights are limited to what's granted in this Agreement. Any feedback or suggestions you share may be freely used by Tea & Coffee Talks for improvement or development purposes.
